These Terms of Use are a binding agreement between you and TeraSystemsAI LLC ("TeraSystemsAI," "we," "us," or "our"). By accessing or using a website, page, publication, form, or online resource that links to these Terms, you acknowledge that you have read and agree to them. Do not use the applicable resource if you do not agree.
1. Eligibility and Organizational Authority
You must be legally capable of entering into these Terms. When you access the site on behalf of a company, government body, university, healthcare organization, financial institution, or other entity, you represent that you are authorized to bind that entity to these Terms.
2. Public Website, Not a Customer Service Agreement
The public website presents information about TeraSystemsAI, our research, publications, services, products, methods, and perspectives. Website access alone does not create a client, advisory, fiduciary, partnership, employment, agency, professional-services, or other special relationship.
A description of a capability, product, research result, proposed control, or potential outcome is not a commitment to provide it. Contracted scope, deliverables, performance obligations, support, security commitments, and service levels exist only when stated in a signed agreement.
3. Permitted Use
You may access and use the public site for lawful informational, research, evaluation, and business-contact purposes, subject to these Terms and applicable law. You may link to public pages with accurate attribution, provided the link does not imply endorsement, sponsorship, certification, affiliation, or approval by TeraSystemsAI.
4. Prohibited Conduct
You may not, directly or through another person or system:
- access or use the site in violation of law, regulation, contractual duty, or third-party rights;
- attempt to bypass authentication, authorization, rate limits, access controls, security controls, or technical restrictions;
- probe, scan, test, exploit, disrupt, overload, damage, or interfere with the site or any connected system without prior written authorization;
- introduce malicious code, automated attacks, harmful payloads, fraudulent traffic, or deceptive communications;
- scrape, crawl, harvest, mirror, bulk-download, index, or systematically extract site content through automated means without prior written permission, except for ordinary search-engine indexing that respects our published controls;
- use site content, publications, interfaces, outputs, or materials to train, fine-tune, benchmark, evaluate, ground, or improve an artificial intelligence or machine-learning system without prior written permission;
- reverse engineer, decompile, disassemble, derive, reconstruct, imitate, or attempt to discover nonpublic architecture, source code, prompts, controls, models, methods, workflows, datasets, safeguards, or trade secrets;
- remove or alter copyright, trademark, attribution, confidentiality, provenance, security, or rights-management notices;
- misrepresent your identity, authority, affiliation, qualifications, findings, or relationship with TeraSystemsAI;
- use TeraSystemsAI's name, marks, research, materials, or statements to claim certification, regulatory acceptance, independent validation, approval, or endorsement that we have not expressly granted in writing;
- use the site to make or automate unlawful, discriminatory, deceptive, unsafe, or unauthorized decisions about another person; or
- assist another party in any prohibited activity.
5. High-Stakes Use and Human Authority
Public website content is not designed to serve as the sole basis for medical, clinical, legal, financial, lending, insurance, employment, educational, safety, security, regulatory, or other high-stakes decisions. It does not replace qualified professional judgment, primary evidence, independent verification, organizational controls, or legally required review.
You remain responsible for determining whether information is current, complete, appropriate, and legally permissible for your intended use. TeraSystemsAI does not authorize any deployment, certify regulatory compliance, or assume the obligations of a deploying organization through publication of website content.
6. Intellectual Property and Reserved Rights
The site and its contents, including text, software, source and object code, designs, interfaces, graphics, logos, names, publications, reports, research summaries, taxonomies, models, methods, workflows, documentation, audiovisual materials, and compilations, are owned by TeraSystemsAI, its founder, authors, contributors, or licensors and are protected by intellectual-property and related laws.
Except for the limited right to access public pages under these Terms, no license, assignment, transfer, waiver, or other right is granted by implication, estoppel, exhaustion, or otherwise. All rights not expressly granted are reserved.
Written permission is required before copying, republishing, adapting, translating, distributing, licensing, selling, commercializing, embedding, creating derivative works from, or otherwise exploiting protected material, except where applicable law independently permits the use.
7. Research, Publications, and Third-Party Rights
Scholarly publications, books, preprints, datasets, figures, and external resources may be governed by separate publisher terms, licenses, access conditions, citation requirements, or third-party rights. A link or citation on this site does not expand the rights granted by the applicable owner or publisher.
8. Information You Submit
When you send an inquiry, application, proposal, message, or other information through the site, you represent that you are authorized to provide it and that it does not violate law, confidentiality duties, privacy rights, intellectual-property rights, or other obligations.
You retain ownership of material you lawfully submit. You grant TeraSystemsAI a limited, nonexclusive right to receive, store, reproduce, route, and use the material only as reasonably necessary to evaluate and respond to your communication, protect the site, maintain records, and comply with law.
9. Do Not Submit Restricted or Sensitive Information
Unless TeraSystemsAI has expressly authorized a secure submission method under a written agreement, do not submit protected health information, payment-card data, bank-account credentials, government identifiers, authentication secrets, export- controlled information, classified information, confidential supervisory information, nonpublic customer records, regulated model data, proprietary source code, or another person's sensitive personal information through general website forms or ordinary email.
Sending information does not by itself establish a confidential, privileged, or fiduciary relationship. Confidential customer or partner information must be handled under an applicable written agreement and approved transmission process.
10. Privacy and Security
Our handling of personal information is described in the Privacy Policy. You are responsible for using reasonable security practices when communicating with us and for protecting your own devices, accounts, credentials, and copies of downloaded materials.
No internet transmission or information system can be guaranteed to be completely secure. If you identify a suspected vulnerability, do not exploit it or access data that is not yours. Report the issue responsibly to security@terasystems.ai.
11. Recruiting, Procurement, and Fraud Prevention
TeraSystemsAI does not require applicants to pay recruitment fees, purchase equipment from a designated seller, provide gift cards, transfer cryptocurrency, or send money to secure an interview, role, contract, or proposal review. Verify suspicious messages through an official @terasystems.ai address and report suspected impersonation or fraud to admin@terasystems.ai.
12. Third-Party Sites and Services
The site may link to or use third-party sites, publishers, repositories, platforms, maps, video services, analytics, spam-prevention tools, or social networks. TeraSystemsAI does not control and is not responsible for their availability, security, accuracy, content, terms, or privacy practices. A link does not constitute endorsement.
13. No Warranties
To the fullest extent permitted by law, the public site and public materials are provided "as is" and "as available." TeraSystemsAI disclaims express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, completeness, availability, security, and uninterrupted or error-free operation.
We do not warrant that public content will remain current, that every error will be corrected, or that the site will be free from harmful components. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14. Limitation of Liability
To the fullest extent permitted by law, TeraSystemsAI and its officers, employees, contractors, authors, contributors, licensors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, opportunity, goodwill, data, or use, arising from or related to the public site or public materials.
To the fullest extent permitted by law, the aggregate liability of TeraSystemsAI for claims arising from the public site will not exceed one hundred United States dollars (US $100). This section does not limit liability that applicable law does not permit us to limit.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless TeraSystemsAI and its officers, employees, contractors, authors, contributors, licensors, and affiliates from claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the site, your material violation of these Terms, or your infringement of another party's rights.
16. Suspension and Enforcement
We may restrict, suspend, or terminate access to the site when reasonably necessary to protect security, rights, users, operations, legal compliance, or the integrity of TeraSystemsAI systems and materials. We may preserve and disclose relevant records when required by law or reasonably necessary to investigate suspected abuse.
17. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Subject to any mandatory law that applies, disputes arising from these Terms or the public site will be brought in the state courts located in Delaware County, Pennsylvania, or the federal courts serving that county, and each party consents to their jurisdiction and venue.
18. Changes to These Terms
We may revise these Terms to reflect changes in the site, our practices, legal requirements, or risk controls. The updated version will state its effective date. Material changes will apply prospectively unless law permits and clearly requires otherwise. Continued use after the effective date constitutes acceptance of the revised Terms.
19. Severability, Waiver, and Entire Agreement
If a provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. These Terms and the Privacy Policy form the entire agreement governing use of the public site, except where a separate signed agreement applies.
